Please read these Terms and Conditions carefully before using our website or engaging our services. These terms govern the relationship between FastXMedia ("we", "us", "our") and you ("client", "you").
1. Acceptance of Terms
By accessing our website or engaging FastXMedia for any services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.
2. Services
FastXMedia provides digital marketing and e-commerce growth services including, but not limited to: • Meta (Facebook & Instagram) advertising • Google Ads management • Email marketing via Klaviyo • TikTok advertising • Shopify store design and development • Conversion rate optimisation (CRO) The specific scope, deliverables, timelines, and fees for each engagement are outlined in a separate Service Agreement or Proposal provided to each client prior to commencement.
3. Client Responsibilities
To enable us to deliver our services effectively, clients agree to: • Provide timely access to ad accounts, platforms, and relevant assets • Supply accurate business information, product details, and brand guidelines • Respond to communications and requests within agreed timeframes • Ensure all provided materials (images, videos, copy) are legally owned or licensed • Maintain ad account funding and billing to prevent campaign interruptions FastXMedia is not liable for delays or underperformance caused by a client's failure to meet these responsibilities.
4. Payment Terms
Unless otherwise agreed in writing: • Invoices are due within 7 days of the invoice date • Retainer fees are billed monthly in advance • Late payments may result in a pause of services • All prices are exclusive of VAT (where applicable) • Refunds are not provided for work already completed or ad spend already deployed Ad spend is paid directly to the advertising platforms (Meta, Google, TikTok) by the client. FastXMedia does not hold or control client ad budgets unless explicitly arranged.
5. Results & Performance
While we strive to deliver exceptional results, FastXMedia does not guarantee specific outcomes, revenue figures, ROAS targets, or return on ad spend. Digital advertising performance is influenced by many factors outside our control, including: • Market conditions and seasonality • Platform algorithm changes • Product pricing and availability • Website conversion rate • Ad spend level Any case studies, statistics, or results shown on our website represent past client performance and are not a guarantee of future results.
6. Intellectual Property
All creative work, strategies, reports, and materials produced by FastXMedia remain our intellectual property until full payment has been received. Upon full payment, clients receive a licence to use the deliverables for their intended business purpose. This does not transfer ownership of our methodologies, templates, or proprietary systems. Clients grant FastXMedia the right to use their brand name and results in our portfolio and marketing materials unless they request otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, or data shared during the engagement. Neither party will disclose such information to third parties without prior written consent, except as required by law. This confidentiality obligation survives the termination of the service agreement.
8. Termination
Either party may terminate a service engagement with 30 days' written notice. Upon termination: • All outstanding invoices become immediately payable • FastXMedia will provide a handover of relevant account access and assets • Any work in progress will be billed on a pro-rata basis • Prepaid retainer fees for undelivered future months will be refunded on a case-by-case basis FastXMedia reserves the right to terminate immediately if a client engages in illegal activity, abusive behaviour toward our team, or fails to pay outstanding invoices after a formal demand.
9. Limitation of Liability
To the maximum extent permitted by law, FastXMedia's total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim. FastXMedia is not liable for: • Loss of revenue, profits, or business opportunities • Damage caused by third-party platforms (Meta, Google, Klaviyo, Shopify) • Indirect, consequential, or incidental damages of any kind • Platform bans, account suspensions, or policy violations outside our control
10. Third-Party Platforms
Our services operate on and through third-party platforms including Meta, Google, TikTok, Klaviyo, and Shopify. We are not affiliated with, endorsed by, or responsible for the policies, decisions, or actions of these platforms. Any changes to platform policies, ad account restrictions, or algorithm updates may affect campaign performance. We will adapt our strategies accordingly but cannot guarantee continuity of results.
11. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date.
